Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Ultimax Media ("Company," "we," "us," or "our") concerning your access to and use of ResponseIQ, including our website at responseiq.io and app.responseiq.io (the "Service").
By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Service.
2. Service Description
ResponseIQ is a software-as-a-service (SaaS) platform that provides:
- Integration with Google Business Profile to sync customer reviews
- AI-powered generation of professional review responses
- Tools to approve, edit, and publish responses to Google Business Profile
- Analytics and reporting on review performance
- Multi-location support for businesses with multiple Google Business Profile locations
3. Account Registration and Eligibility
3.1 Eligibility
You must be:
- At least 16 years of age
- Capable of forming a binding contract
- Authorized to represent the business(es) you connect to ResponseIQ
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password
- All activities that occur under your account
- Notifying us immediately of unauthorized access
- Ensuring your account information is accurate and up-to-date
3.3 One Account Per User
You may only create one account. Creating multiple accounts may result in termination.
4. Subscription Plans and Billing
4.1 Subscription Tiers
ResponseIQ offers per-location subscriptions:
- Basic Plan: $29.99/month or $299.99/year per location (100 reviews/month)
- Premium Plan: $49.99/month or $499.99/year per location (300 reviews/month)
4.2 Billing
- Auto-Renewal: Subscriptions automatically renew at the end of each billing period
- Payment Processing: All payments are processed securely through Stripe
- Currency: All prices are in USD
- Failed Payments: If payment fails, your access may be suspended until payment is successful
- Price Changes: We reserve the right to change pricing with 30 days' notice
4.3 Upgrades and Downgrades
- Upgrades: Take effect immediately with prorated billing
- Downgrades: Take effect at the end of your current billing period
- You can change plans at any time from your account settings
4.4 Review Quotas
- Basic Plan: 100 reviews per location per month
- Premium Plan: 300 reviews per location per month
- Quotas reset on the first day of each billing cycle
- Unused quota does not roll over to the next month
- Additional review capacity can be purchased as needed
5. Cancellation and Refunds
5.1 Cancellation
- You may cancel your subscription at any time
- Cancellations take effect at the end of your current billing period
- You will retain access until the end of your paid period
- To cancel, go to Settings → Billing → Manage Subscription
5.2 Refund Policy
- No Refunds: We do not offer refunds for partial months or unused service
- Exception: Refunds may be issued at our sole discretion for billing errors
- Annual Plans: No refunds for annual subscriptions canceled mid-year
5.3 Account Deletion
- You may delete your account at any time from Settings → Data & Privacy
- Deletion requests include a 30-day grace period during which you can cancel
- After 30 days, all your data is permanently deleted
- Active subscriptions are canceled when you delete your account
6. Acceptable Use Policy
When using ResponseIQ, you agree NOT to:
6.1 Prohibited Activities
- Generate or post fake, misleading, or fraudulent reviews
- Respond to reviews you do not own or are not authorized to manage
- Use the Service to spam, harass, or abuse reviewers
- Violate Google's policies or terms of service
- Attempt to reverse engineer, decompile, or hack the Service
- Use automated tools (bots, scrapers) without permission
- Resell or redistribute the Service without authorization
- Upload malicious code, viruses, or harmful content
- Impersonate others or provide false information
- Use the Service for illegal purposes
6.2 Location Ownership
- You must own or have authorization to manage all Google Business Profile locations you connect
- You are responsible for ensuring you have the right to respond to reviews
- Connecting locations you do not own may result in account termination
7. AI-Generated Content
7.1 AI Response Generation
- ResponseIQ uses AI (OpenAI and other models) to generate response suggestions
- AI-generated responses are suggestions only and may require review and editing
- You are solely responsible for reviewing and approving responses before publishing
- We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content
7.2 Your Responsibility
- You must review all AI-generated responses before publishing
- You are responsible for the content of all responses published from your account
- Ensure responses comply with Google's policies and applicable laws
- We are not liable for any consequences of published responses
7.3 Intellectual Property
- AI-generated responses created by the Service are provided "as is"
- Once published, responses become part of your public Google Business Profile
- You retain ownership of responses you publish
8. Intellectual Property Rights
8.1 Our Property
The Service, including its software, design, features, and content, is owned by Ultimax Media and protected by copyright, trademark, and other intellectual property laws.
8.2 Your Data
- You retain ownership of your business data, reviews, and published responses
- You grant us permission to use your data solely to provide the Service
- We will not sell your data to third parties
- You can export or delete your data at any time
8.3 Feedback
If you provide suggestions, ideas, or feedback about the Service, we may use them without compensation or obligation to you.
9. Service Availability and Modifications
9.1 Uptime
- We strive for 99.9% uptime but do not guarantee uninterrupted service
- Scheduled maintenance will be announced in advance when possible
- We are not liable for downtime, service interruptions, or data loss
9.2 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue any part of the Service
- Change features, functionality, or user interface
- Update pricing with 30 days' notice
- Impose usage limits or restrictions
10. Third-Party Services
ResponseIQ integrates with third-party services including:
- Google Business Profile: Subject to Google's terms and policies
- Stripe: Payment processing subject to Stripe's terms
- OpenAI: AI generation subject to OpenAI's use policies
We are not responsible for third-party services, their availability, or changes to their terms. You must comply with all applicable third-party terms.
11. Disclaimers and Limitation of Liability
11.1 No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULTIMAX MEDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
11.3 Specific Disclaimers
We do not guarantee:
- Accuracy, quality, or appropriateness of AI-generated responses
- Improvement in review ratings or business performance
- Continued availability of Google Business Profile API
- Error-free or uninterrupted service
- Data security from unauthorized access (though we implement reasonable measures)
12. Indemnification
You agree to indemnify, defend, and hold harmless Ultimax Media, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorney fees) arising out of or related to:
- Your use of the Service
- Violation of these Terms
- Violation of any third-party rights
- Responses you publish to Google Business Profile
- Unauthorized use of your account
13. Termination
13.1 By You
You may terminate your account at any time by:
- Canceling your subscription (access continues until period end)
- Deleting your account (30-day grace period, then permanent deletion)
13.2 By Us
We may suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use Policy
- Your payment fails repeatedly
- We detect fraudulent, abusive, or illegal activity
- You pose a security risk to the Service
- Required by law or court order
We will provide notice when possible, but termination may be immediate without notice for serious violations.
13.3 Effect of Termination
- Your access to the Service will end
- Subscriptions will be canceled (no refunds)
- Your data will be deleted according to our Privacy Policy
- Provisions that should survive (liability, indemnification) remain in effect
14. Dispute Resolution
14.1 Informal Resolution
Before filing any legal claim, you agree to contact us at support@responseiq.io to attempt to resolve the dispute informally.
14.2 Governing Law
These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law principles.
14.3 Jurisdiction
Any legal action must be brought in the state or federal courts located in Macomb County, Michigan.
15. Changes to Terms
We may update these Terms from time to time. When we make significant changes:
- We will update the "Last Updated" date
- We will notify you via email or in-app notification
- Changes become effective 30 days after notice
- Continued use after changes indicates acceptance
- If you do not agree, you must cancel your subscription
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ultimax Media.
16.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
16.3 No Waiver
Failure to enforce any provision does not waive our right to enforce it later.
16.4 Assignment
You may not transfer your rights under these Terms. We may assign our rights to any successor or affiliate.
16.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, pandemics, internet outages, etc.).

By using ResponseIQ, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
